Terms of Use

These Terms of Use (the “Terms”) govern your access to and use of the Overline Dashboard (the “Dashboard”), an authenticated portfolio-intelligence tool maintained by Overline, LLC (“Overline,” “we,” or “us”). By accessing the Dashboard, you agree to be bound by these Terms.

1. Authorized use

The Dashboard is provided to a limited audience: Overline staff, our limited partners and their authorized representatives, our portfolio company executives, and other parties we expressly invite. You may access and use the Dashboard only in connection with that relationship. You may not share your sign-in credentials, allow others to access your session, or grant access to any third party without our prior written consent.

2. Confidentiality

All information made available through the Dashboard is confidential and proprietary to Overline, its limited partners, its portfolio companies, and other contributors. You agree to treat the contents of the Dashboard as confidential information, to use it solely for the purpose for which we provided it to you (e.g., as a limited partner reviewing a fund in which you are invested), and not to copy, share, post, redistribute, scrape, or otherwise reproduce it outside that purpose. Confidentiality obligations survive termination of your access.

3. Carta is the source of truth

The Dashboard is a convenience layer over data we sync from Carta and other systems. It is not the system of record. All capital account balances, capital calls, distributions, NAVs, fund-level performance metrics, and tax information are governed by, and should be read from, Carta and the official statements and notices we deliver to you.

In the event of any difference, discrepancy, or inconsistency between information shown in the Dashboard and information in Carta or in our official LP communications, the information in Carta and the official communications controls. Do not rely on the Dashboard for tax, accounting, regulatory, or other decisions where the underlying numbers must be authoritative; use Carta and the documents we send you for those purposes.

4. No representations or warranties about the data

The Dashboard is provided “as is” and “as available.” Information shown in the Dashboard is derived from third-party systems and from internal estimates, summaries, derivations, and tools (including AI-generated summaries) that may be incomplete, out of date, derived in error, or otherwise inaccurate. Examples of categories of data that are explicitly informational only and may differ from authoritative sources include, without limitation: portfolio company financials, valuations, projections, embedded value or override marks, AI-generated company summaries, news mentions, third-party benchmarks, sync timestamps, and per-position MOIC, TVPI, and IRR figures.

To the maximum extent permitted by law, Overline makes no representations or warranties of any kind, express or implied, about the Dashboard or any data shown in it, including without limitation any warranty of accuracy, completeness, currency, fitness for a particular purpose, merchantability, or non-infringement. You are solely responsible for any decision you make based on information shown in the Dashboard, and we strongly encourage you to verify any material figure against Carta and our official communications before acting on it.

5. GP-only views

Certain views in the Dashboard (including, without limitation, the “Overrides” toggle, embedded-value marks, downside scenarios, write-downs, and internal notes) are intended only for Overline staff with full access. These views reflect the General Partner’s internal working estimates, and are not statements of value, valuations of your interest, or commitments of any kind. They are subject to change at any time without notice. Limited partners and other non-staff users should disregard any such view that becomes accidentally visible and should rely solely on the official quarterly statements we deliver outside the Dashboard.

6. Not investment advice

Nothing in the Dashboard constitutes investment, tax, legal, or accounting advice, an offer to sell or solicitation of an offer to buy any security, or a recommendation to engage in any transaction. The Dashboard does not amend, modify, or supersede any subscription agreement, limited partnership agreement, side letter, or other governing document.

7. Limitation of liability

To the maximum extent permitted by law, Overline and its affiliates, members, officers, employees, and agents will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, or goodwill, arising out of or related to your access to or use of the Dashboard, even if we have been advised of the possibility of such damages. Our aggregate liability arising out of or related to the Dashboard will not exceed one hundred U.S. dollars ($100). The foregoing limitations apply notwithstanding the failure of any limited remedy of its essential purpose.

8. Acceptable use

You agree not to:

  • scrape, copy in bulk, mirror, or republish the Dashboard or its contents;
  • reverse-engineer, decompile, or attempt to derive non-public information from the Dashboard;
  • interfere with the operation or security of the Dashboard;
  • use the Dashboard in violation of any applicable law or in a way that infringes the rights of any third party;
  • use the Dashboard to send unsolicited communications.

9. Intellectual property

All right, title, and interest in and to the Dashboard, including its software, design, look and feel, content, and arrangement, are owned by Overline or its licensors. We grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Dashboard for the authorized purpose described in Section 1, subject to these Terms. No other rights are granted, express or implied.

10. Termination

We may suspend or terminate your access to the Dashboard at any time, with or without notice, for any reason, including if we believe you have violated these Terms. The provisions of these Terms that by their nature should survive termination (including Sections 2, 3, 4, 7, 9, 11, and 12) will survive.

11. Governing law

These Terms are governed by the laws of the State of Georgia, USA, without regard to conflict-of-laws principles. Any dispute arising out of or related to these Terms or the Dashboard will be resolved exclusively in the state or federal courts located in Fulton County, Georgia, and you consent to the personal jurisdiction of those courts.

12. Changes

We may update these Terms from time to time. When we make material changes we will update the effective date above and may re-prompt you to acknowledge the new version on your next visit. Continued use of the Dashboard after changes take effect constitutes acceptance of the updated Terms.
